ENGINEERING SERVICES CONTRACT - SURFACE PRODUCTION FACILITIES

Sable Offshore Energy Incorporated (SOEI) is requesting expressions of
interest from companies capable of supplying the services described below.
Companies interested in pre-qualifying to bid on this package should submit
their corporate resumes indicating relevant experience and expertise with
similar services and partnerships to the following address prior to the
closing date indicated above. SOEI reserves the right to make the final
determination of which firms will qualify to bid on the project.


DESCRIPTION or SCOPE OF WORK

SOEI wishes to create an enhanced four year (4) business relationship with a
primary engineering firm for provision of multi-disciplinary engineering
services in support of SOEI production operations at its offshore and
onshore surface facilities. The facilities include the Thebaud, North
Triumph, and Venture offshore structures and production facilities; the
multiphase subsea pipelines; the onshore gas processing plant at Goldboro;
the liquids fractionation facilities at Point Tupper; and the liquids
pipeline connecting Goldboro and Point Tupper. The contractor is expected to
supply expertise in all disciplines required to support the production
facilities, either from in-house resources or through management of
specialist sub-contractors and vendors.

The work will be managed in Nova Scotia and conducted substantially in Nova
Scotia. The contractor will be expected to work as part of an integrated
team with SOEI engineers and operating staff. Attendance at offshore
facilities, onshore plants, and at the SOEI Operations offices at Goldboro
will be necessary from time to time.

In particular the scope of work will include the provision of
multidisciplinary (process, mechanical, electrical, instrumentation, civil,
structural, loss prevention, etc.) professional engineering services related
to:

1. Support of plant engineering as required during steady state
operations

2. Project Engineering support for facility modifications and
capital improvements during operations including:
* Engineering design
* Drawing preparation
* Material take-offs,
* Preparation of equipment specifications and bid packages
* Scheduling and procurement
* Field engineering supervision during construction/installation
* Engineering project supervision, including support to commissioning
and start-up

3. Process evaluations, studies, and simulations for process
optimization and troubleshooting

4. Cost estimating and facilities scoping evaluations
including:
* Problem analysis and evaluation of operating alternatives
* Preparation of cost & schedule data for AFE justification

5. Sub-contracting and management of specialist engineering
consultants and integration of work with Owner company specialist engineers;
examples may include but not be limited to:
* HS&E disciplines
* Marine and offshore specialists
* Process and instrumentation specialist expertise
* Surveying services
* Geotechnical services
* Subsea services

6. Participation in turnaround and shutdown planning which may
include:
* Providing input for scheduling and planning as required
* Assisting in procurement of materials, parts, supplies, tools and
services as requested
* Provision of on-site engineering support personnel as requested

7. Management and Control of SOEI Engineering drawings and
databases in accordance with SOEI Change Management Process including:
* Micro station 2D drawings
* AutoCAD 2D drawings
* PDMS 3D drawings and models
* INTOOLS Instrument Database


Companies capable of supplying the above, and interested in prequalifying to
bid on this package are required to submit the following:


1. A copy of your company's profile. including a
summary of your technical qualifications and experience in providing the
above services,
2. A copy of your company's financial statement; in the
case of a joint venture, financial statements of the parent companies who
will be guaranteeing the work,
3. A copy of your company's Drug and Alcohol policy,
4. A copy of your company's Diversity and Inclusion
policy.
5. A copy of your company's Safety and Environmental
policy.
6. A copy of your company's Quality Assurance
Program,
7. Nova Scotia Content Summary (as per Nova Scotia
Benefit Tender Questionnaire Guidelines).
8. HS & E Self Assessment Summary (as per SOEI Self
Assessment Form),
9. Description of what process the contractor will use
to ensure fair and equal opportunity is given to the
local & Nova Scotia community.
